1. Accepting these terms
By creating an account, accepting a business invitation, submitting an order request, or otherwise using Loyal Loop, you agree to these Terms and our Privacy Policy. If you use Loyal Loop for a business or another organisation, you confirm that you have authority to accept these Terms on its behalf.
If you do not agree, do not create an account or continue using the service.
2. What Loyal Loop provides
Loyal Loop provides software for business profiles, product discovery, customer memory, order requests, sales records, receipts, delivery journeys, feedback, trust signals, and related communication. Unless a checkout or feature expressly says otherwise, Loyal Loop is not the seller, courier, bank, insurer, guarantor, or party supplying a listed product.
An order request is normally an invitation for a business to review availability, price, delivery, and payment arrangements. It is not accepted merely because a customer sends it. The business must communicate whether it accepts, changes, or declines the request.
3. Eligibility, accounts, and security
- You must provide accurate information and keep it reasonably current.
- You must protect your password, verification codes, devices, and active sessions.
- You must tell us promptly if you believe your account or business workspace has been compromised.
- You must be at least 18 years old to operate a business account, unless applicable law permits a properly authorised alternative.
- Business owners are responsible for assigning appropriate staff roles and removing access when it is no longer needed.
4. Founding Circle and access invitations
Loyal Loop may limit business onboarding to invited Founding Circle businesses. An access code gives an eligible person permission to begin onboarding; it does not create an account, replace authentication, guarantee continued access, or promise that every feature will remain available. Codes may be unique, time-limited, non-transferable, and revocable if they are shared, misused, or obtained improperly.
Founding Circle access is complimentary during the pilot unless we make a separate written offer that you accept. No card is required, and we will give at least 14 days’ notice before any paid offer. We will not silently convert complimentary access into a paid subscription. Founding members may be invited to share feedback, participate in interviews, or indicate willingness to pay, but honest criticism will not by itself remove access.
5. Businesses and listed products
Each business is responsible for:
- the legality, safety, quality, availability, description, price, and images of its products or services;
- clearly disclosing delivery timing, charges, returns, cancellation, and refund terms before a customer commits;
- honouring accepted orders and applicable consumer rights;
- customer communications, taxes, permits, records, and compliance applicable to its activity; and
- ensuring that information it records about payments, delivery, and customers is accurate and lawfully obtained.
A Trust Card, owner pledge, activity history, badge, or other trust signal describes information recorded through Loyal Loop. It is not identity verification, an endorsement, or a guarantee unless the relevant screen expressly describes a completed verification.
6. Customers, orders, delivery, and complaints
Customers should review the business identity, product details, total price, delivery terms, return policy, and selected payment method before proceeding. Businesses and customers must communicate truthfully and cooperate reasonably when resolving mistakes, cancellations, non-delivery, damaged goods, or other complaints.
Loyal Loop may provide a support or complaint-escalation channel, preserve relevant platform records, and help the parties communicate. Unless Protected Payment is expressly active for the transaction, Loyal Loop does not promise that it can reverse an external bank transfer, recover cash, replace goods, or compel a business or courier to provide a remedy.
7. Payments and Protected Payment
Payment statuses shown in the current product may be entered by a business or derived from uploaded proof. They are not necessarily confirmation from a bank or payment processor. Customers should follow the payment instructions shown for the specific order and verify the recipient before sending money.
Protected Payment is not generally available at the effective date of these Terms. A preview, explanation, waitlist, or “coming soon” label does not mean Loyal Loop is holding funds or providing escrow. If Protected Payment is activated, the checkout will identify the payment provider, applicable fees, release conditions, inspection or dispute window, refund rules, and any additional terms before payment. We do not offer a customer wallet or interest-bearing balance.
8. Plans, prices, and fees
Founding Circle access is currently complimentary and does not require a card. Future subscription prices, usage limits, taxes, renewal periods, and cancellation rules will be disclosed before a charge is authorised. Third-party providers may charge separate payment, messaging, delivery, data, or network fees.
Our current direction is not to charge a Loyal Loop commission on ordinary sales paid directly between a business and its customer. If an optional Protected Payment service is introduced, any processing or protection fee will be disclosed before the customer pays.
9. Customer information and communications
Businesses may add or contact customers only when they have a lawful reason. Do not upload purchased contact lists, scrape social profiles, send spam, or contact someone after they have withdrawn the relevant permission. Businesses are responsible for notices and consent required for customer information they place in Loyal Loop.
10. Your content
You retain ownership of content you submit. You give Loyal Loop a non-exclusive, worldwide licence to host, reproduce, resize, format, transmit, and display that content only as reasonably needed to operate, secure, support, and improve the service. You confirm that you have the rights and permissions needed to submit it.
Public shop, product, Showcase, Trust Card, receipt, and delivery content may be visible to people who receive or discover the relevant link. Do not place confidential or unnecessary sensitive information in public fields.
11. Acceptable use
You must not use Loyal Loop to:
- commit fraud, impersonate another person or business, or misrepresent product availability or transaction status;
- sell unlawful, dangerous, counterfeit, stolen, or rights-infringing products;
- harass people, send unsolicited messages, or misuse personal information;
- upload malware, interfere with the service, probe for vulnerabilities, or bypass access controls;
- scrape the service or use automated access except through an interface we expressly permit; or
- use Loyal Loop in a way that violates applicable law or another person's rights.
12. Third-party services
Features may depend on hosting, database, media, map, analytics, social-network, messaging, identity-verification, payment, and delivery providers. Their availability and separate terms may affect those features. Loyal Loop is not responsible for a third-party service outside our reasonable control, but this does not remove obligations that applicable law places on us.
13. Beta features and service changes
Founding Circle, beta, experimental, and preview features may change, contain errors, have limited capacity, or be withdrawn. We may improve, limit, pause, or discontinue features, but will provide reasonable notice when a material change adversely affects an active paid service or requires a business to export important records.
14. Suspension and account closure
We may restrict or suspend access when reasonably necessary to protect users, investigate fraud or abuse, comply with law or provider requirements, address non-payment, or respond to a serious breach of these Terms. Where appropriate, we will explain the reason and provide a route to request review.
You may stop using Loyal Loop and request account closure. Some transaction, security, complaint, tax, or legal records may need to be retained after closure as explained in the Privacy Policy.
15. Disclaimers and responsibility
Loyal Loop is provided on an “as available” basis. We work to keep it useful and secure but cannot promise uninterrupted access, error-free data, sales growth, repeat purchases, delivery outcomes, or the conduct of another user. To the extent permitted by law, Loyal Loop is not responsible for indirect or consequential loss caused by a transaction between a business and customer or by a third-party service outside our reasonable control.
Nothing in these Terms excludes a mandatory consumer right or liability that cannot legally be excluded or limited.
16. Changes to these Terms
We may update these Terms as Loyal Loop develops. We will update the effective date and provide appropriate notice of material changes. If a material change requires fresh acceptance, we will ask for it before the changed term applies.
17. Governing law, complaints, and contact
These Terms are governed by the laws of the Federal Republic of Nigeria, without limiting mandatory rights that apply to you. Please contact support@useloyalloop.com for a service or transaction complaint, or legal@useloyalloop.com for a legal notice, so we can try to resolve the matter promptly.
